Guaranteed Notes due 2006, of which €800,000,000 is currently outstanding, issued by Syngenta Luxembourg Finance (#2) S.c.A. (under its former name of Syngenta Luxembourg Finance (#2) S.A.) (the Company) on 10 July 2001 and guaranteed by Syngenta AG (the Guarantor);
- you are a person to whom it is lawful to send the attached Tender Offer Memorandum or to make an invitation under the Offer under applicable laws; and
- you consent to delivery by electronic transmission.
The attached Tender Offer Memorandum has been sent to you in an electronic form. The hard copy version of the Tender Offer Memorandum is in the same form as that sent to you in electronic form. However, you are reminded that documents transmitted via this medium may be altered or changed during the process of transmission and consequently none of the Company, the Guarantor, the Dealer Managers, the Tender Agent, any person who controls, or is a director, officer, employee or agent of, any of the Company, the Guarantor, the Dealer Managers or the Tender Agent nor any affiliate of any such person accepts any liability or responsibility whatsoever in respect of any difference between the Tender Offer Memorandum distributed to you in electronic format and the hard copy version available to you on request from any of the Dealer Managers or the Tender Agent.
You are reminded that the attached Tender Offer Memorandum has been delivered to you on the basis that you have confirmed that you are a person into whose possession the Tender Offer Memorandum may be lawfully delivered in accordance with the laws of jurisdiction in which you are located and you may not, nor are you authorised to, deliver the Tender Offer Memorandum to any other person.
